Terms of Service

1. General Terms

These terms apply to all applications, websites, and services provided by InnoSage LLC ("we," "us," or "our").

1.1 Acceptance of Terms

By creating an account, accessing, or using our Services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Services.

1.2 User Accounts

You are responsible for maintaining the confidentiality of your login credentials (managed via Google Sign-In or other providers). You are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

1.3 Intellectual Property (Our Software)

The visual interfaces, graphics, design, compilation, computer code, and software of our Services constitute the proprietary property of InnoSage LLC. We grant you a limited, non-exclusive, non-transferable license to use the software for its intended purpose. You may not reverse engineer, decompile, or attempt to extract the source code of our software.

1.4 Service Availability

Our Services are provided "as is" and "as available." We do not guarantee that the Services will be uninterrupted, secure, or error-free. We rely on third-party infrastructure (such as Google Cloud and Firebase) and are not liable for outages caused by these providers.

1.5 Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users.

2. Module A: InnoSage Draft

This section applies specifically to your use of the InnoSage Draft application.

2.1 Service Description (Hybrid Storage)

InnoSage Draft is a block-based text editor that provides a "Hybrid Storage" architecture. We provide the editing interface, but you choose the storage backend:

  • Cloud Mode: Data is stored in our managed Google Firestore database.
  • BYOS Mode (Bring Your Own Storage): Data is stored in your personal Google Drive.
  • Offline Mode: Data is stored locally on your device.

2.2 User Content & Ownership

You retain full, exclusive ownership of all text, documents, code, and data ("User Content") you create using InnoSage Draft. We claim no intellectual property rights over your User Content.

2.3 Google Drive Integration (BYOS Terms)

If you connect your Google Drive to the Service, the following specific terms apply:

  • A. Limited Scope (Dedicated Folder): The Service operates under a "Limited Scope" model. We request access solely to create and manage a specific folder (e.g., "InnoSage Draft") within your Drive. We do not access, view, or modify any other files in your Google Drive.
  • B. User Responsibility: You retain full control of this folder. If you manually delete, move, rename, or modify this folder or the files within it using the Google Drive interface (outside of our app), the Service may fail to sync. InnoSage LLC is not responsible for data loss or sync errors caused by your external modification of these files.
  • C. Storage Limits: You are responsible for managing your own Google Drive storage quotas.

2.4 Offline Data Disclaimer

If you use "Offline Mode" (Guest Mode), your data is stored in your browser's local cache. If you clear your browser data, uninstall the browser, or use a private/incognito window, your data will be permanently lost. InnoSage LLC is not liable for data loss resulting from the clearing of browser cache.

3. Legal Disclaimers (General)

3.1 Limitation of Liability

To the fullest extent permitted by law, InnoSage LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. your access to or use of or inability to access or use the Services;
  2. unauthorized access, use, or alteration of your transmissions or content;
  3. data loss resulting from third-party storage failures (e.g., Google Drive corruption).

3.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

3.3 Changes to Terms

We reserve the right to modify these Terms at any time. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
